1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of BioAgentry (the "Service"), available at bioagentry.com. In these Terms, "BioAgentry," "we," "us," and "our" refer to the operator of the bioagentry.com website and service. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

BioAgentry is a web-based platform that lets you upload sequencing data and run bioinformatics analyses (including analyses of pooled CRISPR screens) on managed cloud infrastructure, and retrieve the results. The Service relies on third-party open-source software; details and attributions are on our Open-Source Licenses page.

3. Eligibility

You must be at least 18 years old to use the Service. By using BioAgentry, you represent that you meet this requirement and that you have the authority to upload any data you submit.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you believe your account has been compromised.

5. Your Data and Content

You retain all rights to the files you upload and the results generated from them ("Your Content"). You grant us a limited license to store and process Your Content solely to operate the Service and provide results to you. We do not use Your Content for any other purpose. How we handle and retain Your Content is described in our Privacy Policy, including the 90-day retention period for uploaded files and results.

You are responsible for ensuring you have the right to upload Your Content and that doing so does not violate any law or the rights of others.

6. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in violation of any applicable regulation;
• upload content you do not have the right to upload, or that contains malware or attempts to interfere with the Service;
• attempt to gain unauthorized access to the Service, other users' data, or the underlying infrastructure;
• overload, disrupt, or abuse the Service or its compute resources.

7. Research Use Only; No Clinical or Diagnostic Use

BioAgentry is intended for research and informational purposes only. It is not a medical device and is not intended for clinical, diagnostic, or therapeutic use. You must not rely on results from the Service to make medical, clinical, or other decisions affecting health. You are responsible for independently validating any results before relying on them.

8. Third-Party Open-Source Software

The Service runs open-source software, including MAGeCK and MAGeCK2, under their respective licenses. That software is provided by its authors "as is," without warranty of any kind. BioAgentry is not affiliated with or endorsed by the authors of that software. See our Open-Source Licenses page for details and citation information.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy of results, or non-infringement. We do not warrant that the Service will be uninterrupted, error- free, or that any analysis results will be accurate, complete, or suitable for your purposes.

10. Limitation of Liability

To the maximum extent permitted by law, BioAgentry and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or research outcomes, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the extent liability cannot be excluded, it is limited to the amount you paid us, if any, to use the Service in the twelve months before the claim.

11. Availability, Changes, and Termination

We may modify, suspend, or discontinue the Service (in whole or in part) at any time. We may suspend or terminate your access if you violate these Terms. You may stop using the Service and delete your account at any time; deletion is handled as described in the Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-laws rules. You agree that any disputes arising out of or relating to these Terms or your use of the Service will be subject to the jurisdiction of the courts of the United States.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Service or by email. Your continued use after changes take effect constitutes acceptance of the updated Terms.
